Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Acumen Foresight LLC, a Delaware limited liability company doing business as "Businium" ("Company," "we," "us," or "our").

By accessing or using the Businium website at www.businium.com, the Businium Chrome extension, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Businium is a LinkedIn outreach automation platform that allows users to create and execute outreach campaigns — including profile visits, connection requests, likes, and follow-up messages — through a Chrome browser extension. The Service includes:

  • A web dashboard for managing campaigns, contacts, and settings.
  • A Chrome extension that executes campaign actions within your authenticated LinkedIn session.
  • AI-powered message personalization using your own third-party AI API keys (Bring Your Own AI).
  • Built-in safety mechanisms including daily action limits, warm-up periods, and human-like delays.

4. Account Registration

  • You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration.
  • You are responsible for safeguarding your account credentials, Runner Token, and AI API keys.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at support@businium.com if you suspect unauthorized access to your account.

5. Subscription and Payment

5.1 Pricing

The Service is offered as a paid subscription at $10 USD/month or $100 USD/year. A 7-day free trial is available for new users.

5.2 Billing

Payments are processed through Polar.sh, our third-party payment provider. By subscribing, you authorize recurring charges at the selected billing interval. Subscriptions automatically renew unless cancelled before the renewal date.

5.3 Refunds

Given the nature of digital services, refunds are generally not provided after the trial period. If you believe you are entitled to a refund due to a service error, please contact us within 14 days of the charge.

5.4 Changes to Pricing

We reserve the right to modify pricing with at least 30 days' notice. Price changes will not affect your current billing cycle.

6. Acceptable Use

You agree to use the Service in compliance with:

  • All applicable local, state, national, and international laws.
  • LinkedIn's Terms of Service and User Agreement. You acknowledge that LinkedIn may restrict or suspend your account for activities it considers automated or in violation of its policies.
  • Anti-spam laws including CAN-SPAM, GDPR, and CCPA.

You must NOT use the Service to:

  • Send unsolicited messages that constitute spam or harassment.
  • Impersonate another person or entity, or misrepresent your affiliation.
  • Scrape, harvest, or collect data from LinkedIn beyond what is necessary for your configured campaigns.
  • Circumvent or disable the safety limits built into the Service.
  • Use the Service for any illegal, fraudulent, or deceptive purpose.
  • Resell, sublicense, or provide access to the Service to third parties without our written consent.
  • Reverse-engineer, decompile, or disassemble any part of the Service.

7. AI-Generated Content

  • The Service uses your own AI API keys to generate personalized outreach messages. You are solely responsible for the content generated and sent through the Service.
  • We do not review, approve, or endorse AI-generated messages before they are sent.
  • You must review AI-generated content and ensure it complies with applicable laws and LinkedIn's policies.
  • AI-generated output may be inaccurate, inappropriate, or biased. You use AI features at your own risk.

8. Chrome Extension

  • The Chrome extension operates within your browser using your authenticated LinkedIn session. We never access your LinkedIn login credentials.
  • The extension communicates only with Businium servers. No data is sent to unauthorized third parties.
  • You are responsible for keeping the extension updated and ensuring it operates in compliance with LinkedIn's policies.
  • We are not responsible for any restrictions, suspensions, or bans imposed on your LinkedIn account as a result of using the Service.

9. Intellectual Property

The Service, including its original content, features, functionality, design, code, and branding, is owned by Acumen Foresight LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription.

You retain ownership of all content you create, upload, or generate through the Service, including campaign data and message templates.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the Service will meet your specific requirements. We do not guarantee any specific results from the use of the Service, including but not limited to LinkedIn connection acceptance rates, response rates, or lead generation outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACUMEN FORESIGHT LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Acumen Foresight LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including LinkedIn's terms; or (d) any content or messages sent through the Service using your account.

13. Termination

  • You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in abusive activity, or fail to pay applicable fees.
  • Upon termination, your right to use the Service ceases immediately. We may delete your account data within 30 days of termination.
  • Sections 9 through 16 survive termination of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration taking place in the State of Delaware. Each party shall bear its own arbitration costs.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Acumen Foresight LLC regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time without notice.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, internet outages, or third-party service failures.
